Success Story: CMS Hasche Sigle and City-Yuwa Partners Advise on EUR 1 Billion Acquisition

CMS Hasche Sigle and City-Yuwa Partners have been advising Japanese machine tool manufacturer DMG Mori Seiki Co., Ltd. on all aspects of German and Japanese capital markets and corporate law as well as merger control of its voluntary public takeover offer to the shareholders of the German machine tool manufacturer DMG Mori Seiki Aktiengesellschaft, Bielefeld (formerly Gildemeister AG), both world-leading manufacturers of cutting machine tools, to acquire all the bearer shares. With a stated offer price of EUR 30.55 per share, the transaction has a maximum total value of around EUR 1.820 billion.

CMS Hasche Sigle also coordinated and partly still coordinates seven merger control proceedings worldwide. In addition to CMS Hasche Sigle conducting the merger control proceedings in Germany and City-Yuwa Partners conducting the proceedings in Japan, WLG member Hergüner Bilgen Özeke is conducting the merger control proceedings in Turkey.
