Philippines: Philippine Chapter of Getting the Deal Through: Vertical Agreements 2018

05/01/2018

Getting the Deal Through has published the twelfth edition of Vertical Agreements, which is available in print, as an e-book, and online. The Philippine chapter was contributed by SyCipLaw partners Arlene M. Maneja and Franco Aristotle G. Larcina.

The publication offers expert local insight with answers to crucial questions in key areas such as antitrust laws applicable to vertical restraints, responsible authorities, sector-specific rules, general exceptions from antitrust law, application of antitrust law to agency agreements, block exemptions or safe harbor, likely assessment of different kinds of restraint, formal notification procedure, investigative powers of the agency, sanctions or remedies, enforcement, consequences of an infringement of antitrust law, and private enforcement.

Every effort has been made to cover all matters of concern to readers. However, specific legal advice should always be sought from experienced local advisers.

Arlene M. Maneja specializes in investments and acquisitions, public-private partnerships (PPPs), infrastructure, power, renewable energy, and competition law. She has assisted leading Philippine conglomerates and their partners in bidding and negotiating PPP contracts in the transport and water industries. She also advises clients regarding competition law and any anti-trust implications of proposed acquisitions, business ventures and similar activities and has acted as competition counsel in relation to merger filings with the Philippine Competition Commission.

Franco Aristotle G. Larcina specializes in investments and M&As, particularly in industries with FDI and nationality restrictions and in listed and public corporations. His other work focus is arbitration and dispute resolution for commercial transactions. He has expertise in merger and competition law, securities regulations, and telecommunications, media, and technology.
